Job Description:

This is the type of job that lawyers covet, a small but growing asset management company, seeks an experienced securities lawyer who will serve as its sole in-house General Counsel. The company currently manages three funds actively investing in complex equity and equity-linked, as well as debt, securities of small-cap foreign publicly-traded companies in privately-negotiated transactions. This is an opportunity for someone who wants to be in the middle of the action, work directly with the Chief Investment Officer, and direct the activities of outside counsel. The General Counsel will have exposure to, and will be solely responsible for, a wide array of business and legal issues.

The legal practice will be general in nature, but the ideal candidate will have practiced with a focus on:
ā¢Transactional securities work (e.g. private securities offerings)
ā¢Investment adviser legal issues (and be particularly familiar with the Investment Advisers Act of 1940 and general fund compliance matters)

Prior in-house experience is preferred. A minimum of six years of legal experience is necessary. Major law firm experience acquired at some point in the candidateās career is necessary. New York bar is a requirement. No relocation. Travel is expected to be limited. This position has no direct supervisory responsibilities, but the candidate will serve as a coach and mentor for his or her colleagues within the firm.
